Mitsui Kinzoku Company, Limited (the “Company”; President and Representative Director: IKENOBU Seiji) hereby announces that the Company entered into a share transfer agreement with Hulic Co., Ltd. on August 3, 2026, under which the Company will transfer part of the shares it holds in Nakabohtec Corrosion Protecting Co., Ltd. (“Nakabohtec”), an equity method affiliate of the Company, to Hulic Co., Ltd. and that the Company plans to sell, after the share transfer, all the shares it holds in Nakabohtec in the off-hours trading (via the ToSTNeT-3 trading system) which Nakabohtec plans to implement for the purchase of its own shares (the “Purchase”). After these transactions, Nakabohtec is expected to cease to be an equity method affiliate of the Company.
Since its founding in 1951, Nakabohtec has specialized in comprehensive corrosion prevention systems, as a leading Japanese company in corrosion prevention. It conducts corrosion and deterioration surveys, analysis and evaluation of structures that are subject to various types of environmental exposure and, based on the results, offers countermeasures, together with anti-corrosion designs and construction, and maintenance and management services. Since the launch of a technical and financial collaboration arrangement with Nakabohtec in 1956, the Company has bolstered its cooperation with Nakabohtec in the marketing of zinc anode manufactured by the Company.
Under the New 2025-2027 Medium Term Business Plan, the Company has identified the strengthening of portfolio management as one of its critical measures. Consequently, it is working to optimize its business portfolio and the allocation of management resources.
In light of this policy, the Company carefully reviewed its capital policy and the status of its business portfolio and decided to implement the share transfer and the subscription to the purchase offer, having judged that this would contribute to the selection and concentration of its management resources and the improvement of its corporate value, as well as to an improvement in Nakabohtec’s corporate value with new large shareholders.
The impact of the share transfer and the subscription to the purchase offer on the Company’s consolidated performance for the fiscal year ending March 31, 2027 is minimal.
